TERMS OF USE - GENERALLY

IranPhoneLine, one of the consumer division of CarrieX, FZCO (“IranPhoneLine”) and You (“You” or “you”) as the end user or customer, provides Internet phone Services (the “Service” or “Services”) through http://www. IranPhoneLine.com (the “Website”). The Services include the ability to download and use PCPhone software (the “Software”), purchase VoIP devices, PC to Phone, Direct Inward Dialing Numbers, or Prepaid Calling Cards accounts, manage existing user accounts, and other services. Your use of the Services, Software and Website is subject to your compliance with the Terms of Use set forth below.

These terms of use, the Privacy Policy, Software and Website, and, together, constitute the "Terms of Use" between you and IranPhoneLine. Additionally, when using particular Services, you shall be subject to all posted agreements, guidelines or rules applicable to such Services that may contain terms and conditions in addition to those in the Terms of Use. All such agreements, guidelines and/or rules are hereby incorporated by reference into these Terms of Use.

PLEASE READ THESE TERMS OF USE CAREFULLY. BY CLICKING ON THE ACCEPT BUTTON AND/OR ACCESSING THE WEBSITE, DOWNLOADING OR USING THE SOFTWARE OR UTILIZING THE SERVICES, YOU ACCEPT AND ARE LEGALLY BOUND BY THESE TERMS OF USE.

New versions of the Terms of Service. IranPhoneLine reserves the right to modify these Terms of Service at any time by providing such revised Terms of Service to you or by publishing the revised Agreement on the Website. If you do not wish to accept these revised Terms of Service, You are entitled to terminate your account, in writing or by e-mail to sales@IranPhoneLine.com with effect from the date on which the revised Terms of Service would become effective. Your continued use of the VoIP service shall constitute your acceptance to be bound by the terms and conditions of the revised Agreement.

SERVICE - GENERALLY

IranPhoneLine offers Voice over Internet Protocol (also known as VoIP, Voice over IP, the payable services provided under the Terms of Use) enabled telephone service, including IranPhoneLine-Out Service (the service which enables you to make calls to PSTN/Mobile Users), IranPhoneLine-In Service (the service which enables you to be called by PSTN/Mobile Users to your IranPhoneLine-In number), and related telephony features.

You agree to use the Services, Software and Website for lawful purposes only. You are prohibited from posting on, or transmitting through, the Website any materials, or engaging through the Services in any conduct, that is fraudulent, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, discriminatory, or otherwise objectionable, including without limitation, any material or conduct that encourages unlawful activities. If IranPhoneLine suspects that you have engaged in any of the foregoing conduct, IranPhoneLine may, in its sole discretion, (a) terminate or suspend your account or use of the Services, Software and/or Website; and/or (b) forward the offensive materials and/or information related to such prohibited conduct, your communications with IranPhoneLine, and your personally identifiable information to the proper authorities for investigation or prosecution.

If you are eligible for a IranPhoneLine-In number(DID Numbers), it will be allocated to you as soon as reasonably possible after IranPhoneLine has received your request thereto. In certain cases the IranPhoneLine-In number may be allocated to you by the IranPhoneLine-In number provider instead of IranPhoneLine, and you may need to enter into a separate agreement thereof with the respective number provider, in particular if you are residing in a jurisdiction which forbids IranPhoneLine to allocate telephone numbers to you.

You acknowledge and understand that the allocation and distribution of the IranPhoneLine-In number do not constitute any transfer of any property or other rights with regard to the numbers.

IranPhoneLine shall endeavor to allocate and distribute the requested IranPhoneLine-In number and to provide you with the IranPhoneLine-In service. However, IranPhoneLine cannot guarantee that the requested telephone numbers can be allocated or distributed to you or that you can make use of the IranPhoneLine-In service.

IranPhoneLine is entitled, without any liability, to refuse, change or terminate any IranPhoneLine-In number at any time. In particular, without limiting the generality of the foregoing, IranPhoneLine reserves the right to immediately withdraw the number should you not comply with any restrictions of use that you have accepted during the purchase process.

In the event that IranPhoneLine changes the IranPhoneLine-In number that has been allocated to you by IranPhoneLine, IranPhoneLine will send a notification by e-mail, stating the effective date of the change and your new IranPhoneLine-In number. If you do not wish to accept this new number, you are entitled to terminate your IranPhoneLine-In number, in writing or by e-mail to sales@IranPhoneLine.com with effect from the date on which this new IranPhoneLine-In number will be allocated to you. IranPhoneLine will not be liable for any damages resulting from the change of IranPhoneLine-In number.You guarantee that you will comply with any reasonable instructions given by IranPhoneLine or the IranPhoneLine-In number provider with regard to the use of the IranPhoneLine-In numbers and that you will comply with the requirements of the relevant national numbering plan.

You guarantee that you will provide accurate and complete information with regard to your place of residence and your use of the IranPhoneLine-In number, and all such other information with regard to fulfillment of the requirements of the number plan, as may reasonably be required from time to time by IranPhoneLine.

Jurisdiction’s Restrictions: if you are residing in a jurisdiction which restricts the use of internet-based applications according to age, or which restricts the ability to enter into agreements such as this agreement according to age and you are under such a jurisdiction and under such age limit, you may not enter into this Agreement or use the VoIP services. Furthermore, if you are residing in a jurisdiction where it is forbidden by law to use VoIP services, you may not enter into this Agreement and you may not use the VoIP services. By entering into this Agreement you explicitly state that you have verified in your own jurisdiction if your use of the VoIP service is allowed.

No emergency calls. You expressly acknowledge and agree that the VoIP service provided by IranPhoneLine does not and is not intended to support or carry emergency calls to any type of hospitals, law enforcement agencies; medical care unit or any type of emergency services of any kind and that IranPhoneLine is not liable in any manner for such calls. You agree to inform any household residents, guests and other third persons who may be present at the physical location at which you utilize the Service of the non-availability of any type of emergency services. In the event that, with your permission, another user uses your Account, you are responsible to inform that user that it is not possible to support or carry emergency calls with the IranPhoneLine VoIP service. IranPhoneLine is not intended to be a replacement for Customer’s primary telephone service. You also acknowledge and understand the limitations of liability of IranPhoneLine contained in the "Legal" section below.

PAYMENT AND BILLING

You authorize any charges incurred from the use of your IranPhoneLine account to be billed to you through your account or credit card. You may use the IranPhoneLine account only so long as your account or credit card remains valid and in good standing. You agree to pay for all charges incurred by use of the IranPhoneLine account issued to you and comply with all other terms and conditions set forth herein.

In order to protect our customers from fraudulent credit card usage and conduct the necessary verification process upon sign up and registration, it may take up to forty eight (48) hours or more from registration for your funds to be available in your account.

You are responsible for maintaining the confidentiality of your account number and/or password. You are responsible for all uses of your account, whether or not actually or expressly authorized by you. You agree to notify IranPhoneLine immediately if you become aware at any time that your account or the Service is being stolen or fraudulently used, in writing by e-mailing to IranPhoneLine sales@IranPhoneLine.com. You agree to be responsible for payment of all charges on your account’s detail report incurred as a result of the use of your IranPhoneLine debit account, including but not limited to the use or misuse by an unauthorized third party, or any error, accidental use or loss.

You are not authorized to use your IranPhoneLine account after your account or your credit card has expired, or been withdrawn, revoked, or terminated. Nevertheless you remain responsible to IranPhoneLine for any charges resulting from the use of your IranPhoneLine account after any such expiration, withdrawal, revocation or termination, which charges are payable immediately to IranPhoneLine.

Charges for the Service will be rated and charged in accordance with the rates provided by IranPhoneLine, any promotional offer pursuant to the published terms of such offer by IranPhoneLine, or as otherwise as provided in our price list or on the Website. Call times for each call are rounded up to the next whole minute and billed in full minute increments. Per call charges are rounded up to the next whole cent. All calls that are determined to have been answered incur a minimum one (1) minute charge. IranPhoneLine relies on reasonable and standard technologies to determine whether and when a call has been answered, including without limitation signals sent by the carrier connecting the call that indicates the commencement of call. These technologies are not perfect or entirely reliable and it is possible for call-commencement signals to be received in error. All calls made to mobile telephones are deemed to have been completed. You must notify IranPhoneLine in writing of any disputed charges within sixty (60) days of the charges or you will be deemed to have waived your right to dispute the charges.

Certain federal, state, provincial, municipal, local or other governmental sales, use, excise, value added, personal property, public utility or other taxes, fees or charges now in force or enacted in the future (collectively, “Taxes”), may apply, or become applicable in connection with the use of the IranPhoneLine accounts or the Services, Software or Website. You will be responsible for any Taxes. Applicable Taxes will be deducted from your prepaid debit account balance or charged directly to your credit card.

All prices are subject to change without prior notice. We will use commercially reasonable efforts to notify you of any changes to calling plans subject to a fixed monthly/semi-annually/annually fee (the “Monthly/Semi-Annually-Annually Fee”) pursuant to the applicable Calling Plan Details, but such notification shall not be deemed a prerequisite to the effectiveness of any such change. Our rates may not include additional charges you may receive for originating a call from a cell phone (or any other telecommunication device with an extra charge).

All Monthly/Semi-Annually/Annually Fees and any additional per minute charges incurred will be deducted from your prepaid debit account or charged directly to your credit card on the same date and at the same time every month, with a possible delay of few hours which may cause a possible shift in date, from time to time.

User accounts that are subject to a monthly/semi-annually/annually service charge are automatically replenished through a charge billed to your credit card without further action by you (“Automatic Recharge”) if you select this option. You authorize such charges by selecting “Automatic Recharge” option. Automatic Recharge takes place (i) on a monthly/semi-annually/annually basis at the commencement of each monthly/semi-annually/annually term (unless you give IranPhoneLine written notice of non-renewal as set forth below) and (ii) when the account balance is below the level set forth in the Calling Plan Details with respect to your particular calling plan. IranPhoneLine provides the Service for full monthly/semi-annually/annually terms only, beginning on the date that your account is first created.

If you are subscribed to a calling plan subject to a Monthly/Semi-Annually/Annually Fee, and in the event that your debit account balance drop below the level set forth in the Calling Plan Details with respect to your particular calling plan, your credit card will automatically be recharged in the amount specified by you during sign up, unless your account is not subject to Automatic Recharge which in this case your account will be downgraded to a per-minute price plan or the service will be terminated in the case of insufficient funds. In the event that your calling plan is subject to Automatic Recharge and your account falls below the level set forth in the Calling Plan Details with respect to your particular calling plan, but the charge for the Automatic Recharge fails, you will be automatically downgraded to a per-minute price plan or the service will be terminated in the case of insufficient funds.

ACCOUNT EXPIRATION AND TERMINATION

You may terminate your account at any time by providing at least ten (10) days’ prior written notice (e-mail) of non-renewal to IranPhoneLine sales@IranPhoneLine.com which contains your name, account number and clear request to terminate the Service shall suffice as a written notice for the purpose described in the previous sentence.

If you attempt to terminate Service prior to the end of a monthly/semi-annually/annually term, you will be responsible for the full month's/semi-annual/annual charges through the end of the then-current monthly/semi annually/annually term. Any notice of termination received within the final ten (10) days of any monthly term will be effective as of the conclusion of the subsequent month.

Accounts not subject to Automatic Recharge will expire after ninety (90) days unless a call has been made or funds have been added.

BONUSES

All eligibility for bonuses is described in the applicable Calling Plan Details.

Bonuses based on the amount of charge to your credit card will be activated only after completion of the aforementioned charge. These bonuses must be used within sixty (60) days of activation (unless stated otherwise in the materials describing the applicable calling plan). Any unused bonus funds will expire.

Bonuses based on minutes usage will be activated after the defined usage. These bonuses do not expire.

IranPhoneLine reserves the right to change and/or add new types of bonuses and to change the expiration period of the existing types of bonuses. Any changes will apply only to future bonuses and periods.

Device Warranties:

No Warranty. If your Device did not include a limited warranty from us at the time of receipt, you are accepting the Device "as is". You are not entitled to replacement, repair or refund in the event of any defect.

LICENSES

Trademarks & Copyrights:

All trademarks, service marks, corporate names, logos, websites and domain names of IranPhoneLine and its suppliers (collectively "Marks") are and shall remain the exclusive property of IranPhoneLine and such suppliers and nothing in these Terms of Use shall grant you the license to use such Marks for any purpose.

The Services, Software and materials contained in the Website and otherwise provided by IranPhoneLine are protected by copyright, or other intellectual property laws. Any commercial or unauthorized use of the Services, Software and materials contained in the Website is strictly prohibited, without the express, prior, written consent of IranPhoneLine. Any reproduction or redistribution of the Services, Software and materials contained in the Website not in accordance with the terms set forth herein is expressly prohibited by law, and may result in severe civil and criminal penalties.

Software Use:

The Software is the copyrighted work of IranPhoneLine and/or its suppliers. Use of such software is governed by these Terms of Use and the terms set forth in the applicable End User License Agreement, if any. Subject to the terms and conditions contained in these Terms of Use, IranPhoneLine hereby grants to you a personal, non-exclusive, non-transferable, non-sublicensable right to use one (1) copy of the Software for your own personal use on a single computer. IranPhoneLine, on its own behalf and that of its suppliers, reserves all rights in the Software not expressly granted herein, including without limitation ownership and proprietary rights. You may not reverse engineer, decompile or otherwise attempt to discover the source code of the Software. You may not reproduce or distribute the Software for any purpose whatsoever. You may not sell, assign, rent, lease, distribute, export, import, act as an intermediary or provider, or otherwise grant rights to third parties with regard to the IranPhoneLine Software or any part thereof.

Without limiting the foregoing, you may not copy the Software to any server or location for reproduction or distribution. The restrictions contained herein apply equally to any updates that may be provided to you by IranPhoneLine. The Software and any accompanying documentation are deemed to be "commercial computer software" and "commercial computer software documentation" respectively. Any use, modification, reproduction release, performance, display or disclosure of the Software and accompanying documentation will be governed solely by the terms of these Terms of Use and will be prohibited except to the extent expressly permitted by these Terms of Use.

IranPhoneLine, in its sole discretion, reserves the right to add additional features or functions, or to provide programming fixes, updates and upgrades, to the IranPhoneLine Software. You acknowledge and agree that IranPhoneLine has no obligation to make available to you any subsequent versions of the IranPhoneLine Software. You also agree that you may have to enter into a renewed version of this Agreement, in the event you want to download, install or use a new version of the IranPhoneLine Software. Furthermore, you acknowledge and agree that IranPhoneLine, in its sole discretion, may modify or discontinue or suspend your ability to use any version of the IranPhoneLine Software, or terminate any license hereunder, at any time, with immediate effect and without recourse to the courts. IranPhoneLine also may suspend or terminate any license hereunder and disable any IranPhoneLine Software you may already have accessed or installed without prior notice at any time with immediate effect and without recourse to the courts. IranPhoneLine will not accept any liability in relation to the direct or indirect damages caused by (1) the release and/or the absence of release of new versions of the IranPhoneLine Software and (2) by the suspension or termination of this Agreement by IranPhoneLine and/or by you.

LEGAL

IranPhoneLine does not warrant that the Services are completely error free or will operate without packet loss or interruption nor does IranPhoneLine warrant any connection to or any transmission over the Internet. Use of the Services shall be in accordance with these Terms of Use. Information on the Website or in other materials may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice. IranPhoneLine may also make improvements and/or changes to the Services, Software or Website at any time without notice. Statements and descriptions concerning the Service, Software or Website, if any, by IranPhoneLine or IranPhoneLine’s agents or partners are informational and are not given as a warranty of any kind.

IranPhoneLine cannot guarantee that you will always be able to communicate with other IranPhoneLine Software users, nor can IranPhoneLine guarantee that you can communicate without disruptions, delays or other communication-related flaws.

IranPhoneLine will not be liable for any such disruptions, delays or other omissions in any communication experienced when using IranPhoneLine Software and/or services.

You acknowledge and understand that IranPhoneLine does not control, or have any knowledge of, the content of any communication(s) spread by the use of the IranPhoneLine Software and/or services. The content of the communication is entirely the responsibility of the person from whom such content originated. You, therefore, may be exposed to content that is offensive, indecent or otherwise objectionable. IranPhoneLine will not be liable for any type of communication spread by means of the IranPhoneLine Software and/or services.

You acknowledge and agree to use the VoIP service solely for lawful purposes. In this respect you may not, without limitation (a) intercept or monitor, damage or modify any communication which is not intended for you, (b) send any unsolicited commercial communication not permitted by applicable law, or (c) use your Account or VoIP service in any fraudulent way.

All Services Software and the Website and equipment provided by IranPhoneLine are provided “as is”. IRANPHONELINE DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER (INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE OR NON-INFRINGEMENT, OR THE IMPLIED WARRANTIES OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) WITH REGARD TO THE SERVICES, DEVICES FOR A PARTICULAR PURPUSE, THE SOFTWARE, THE WEBSITE OR ANY EQUIPMENT PROVIDED. EMERGENCY SERVICE CALLS ARE NOT INTENDED TO BE CARRIED/SUPPORTED BY THE SOFTWARE OR SERVICES AND NEITHER IRANPHONELINE NOR ANY OF ITS AFFILIATES, SUBSIDIARIES, PARENT COMPANIES, AGENTS, NETWORK SERVICE PROVIDERS, PARTNERS, EMPLOYEES OR VENDOR WHO FURNISHES SERVICES DEVICES, OR PRODUCTS TO CUSTOMER IN CONNECTION WITH THE SERVICE ARE OR WILL BE LIABLE FOR THE INABILITY TO MAKE SUCH CALLS OR YOUR FAILURE TO MAKE SUCH EMERGENCY CALLS USING THE SERVICES, SOFTWARE.

IN NO EVENT WILL IRANPHONELINE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL, PUNATIVE, OR SPECIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, DEVICES, SOFTWARE OR WEBSITE OR ANY TRANSACTIONS PROVIDED ON, OR HYPERLINKED, FROM THE WEBSITE, EVEN IF IRANPHONELINE OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH, OR HYPERLINKED FROM, THE WEBSITE, INCLUDING WITHOUT LIMITATION THE INABILITY BY YOU OR ANY THIRD PARTY TO BE ABLE TO DIAL ANY EMERGENCY SERVICE NUMBERS OR TO ACCESS EMERGENCY SERVICE PERSONNEL THROUGH THE SERVICE.

By way of example, and not limitation, IranPhoneLine shall not be liable for any delay or failure to provide the Service at any time or from time to time, or any interruption or degradation of voice quality that is caused by any of the following:

1. act or omission of an underlying carrier, service provider, vendor or other third party.
2. equipment, network or facility failure.
3. equipment, network or facility upgrade or modification.
4. Force Majeure events such as (but not limited to) acts of god; strikes; fire; war; riot; government actions.
5. equipment, network or facility shortage.
6. equipment or facility relocation.
7. service, equipment, network or facility failure caused by the loss of power to you.
8. outage of your ISP or broadband service provider.
9. your act or omission or that of any other person using the Service provided to you.
10. any other cause that is beyond IranPhoneLine’s control, including without limitation, the failure of an incoming or outgoing communication, the inability of communications to be connected or completed.

OTHER THAN WARRANTIES AS TO THE DEVICE EXPRESSLY SET FORTH IN THE DOCUMENTATION PROVIDED WITH THE DEVICE AND THE RETAIL CUSTOMER LIMITED WARRANTY EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIM ANY WARRANTY OF MERCHANTABILITY, FITNESS OF THE DEVICE FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT OR ANY WARRANTY ARISING BY USAGE OF TRADE, COURSE OF DEALING OR COURSE OF PERFORMANCE OR ANY WARRANTY THAT THE DEVICE OR ANY FIRMWARE OR SOFTWARE IS "ERROR FREE" OR WILL MEET CUSTOMER'S REQUIREMENTS. THE FOREGOING WILL NOT BE DEEMED TO LIMIT ANY DISCLAIMER OR LIMITATION OF WARRANTY SET FORTH IN THE DOCUMENTATION PROVIDED WITH THE DEVICE.

Disclaimer of Liability for Damages, IN NO EVENT WILL IRANPHONELINE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES OR AGENTS OR ANY OTHER SERVICE/DEVICE PROVIDER WHO FURNISHES SERVICES/DEVICES TO YOU IN CONNECTION WITH THE SERVICE BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR FOR ANY OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, WRONGFUL DEATH, PROPERTY DAMAGE, LOSS OF DATA, LOSS OF REVENUE OR PROFITS, OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE, INCLUDING INABILITY TO ACCESS EMERGENCY SERVICE PERSONNEL OR TO OBTAIN EMERGENCY HELP. THE LIMITATIONS SET FORTH HEREIN APPLY TO CLAIMS FOUNDED IN BREACH OF CONTRACT, BREACH OF WARRANTY, PRODUCT LIABILITY, TORT AND ANY AND ALL OTHER THEORIES OF LIABILITY AND APPLY WHETHER OR NOT WE WERE INFORMED OF THE LIKELIHOOD OF ANY PARTICULAR TYPE OF DAMAGES.

IRANPHONELINE’S ENTIRE LIABILITY FOR ANY CLAIM, LOSS, DAMAGE, OR EXPNESE FROM ANY CAUSE WHATSOEVER, SHALL IN NO EVENT EXCEED SUMS ACTUALLY PAID TO IRANPHONELINE BY YOU FOR THE SPECIFIC SERVICES OR DEVICES GIVING RISE TO THE CLAIM.

Links available on or through the Website may enable you to leave the Website. The linked sites are not under the control of IranPhoneLine and IranPhoneLine is not responsible for the content of any linked site or any link contained on or through a linked site, any changes or updates to such sites or the privacy practices of any linked site. It is up to you take precautions to ensure that whatever you select for your use is free of viruses, worms, Trojan horses and other items of a destructive nature. IranPhoneLine is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by IranPhoneLine.

IranPhoneLine cannot and does not guarantee or warrant that the files available for downloading from the Website will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Website for the reconstruction of any lost data. You assume total responsibility and risk for your use of the Services, Software and Website, and your use of the Internet.

You agree to indemnify, defend and hold harmless IranPhoneLine, its officers, directors, employees, agents, shareholders, licensors, suppliers and any third party information providers of or to the Services, Software or Website (the “Indemnified Parties”), from and against all third party claims, losses, expenses, actions, liabilities, damages and costs (including without limitation reasonable attorneys' fees) arising out of or in connection with any claim, demand, action, suit, investigation, arbitration, or other proceeding by a third party to the extent directly or indirectly arising from your use of the Services provided by IranPhoneLine, including the inability by you or any third party to be able to access emergency service personnel .

The provisions of this paragraph are for the benefit of the Indemnified Parties. Each of these individuals or entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

You agree that IranPhoneLine, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, Software or Website, for any reason, or no reason. IranPhoneLine may also in its sole discretion, discontinue providing or modify the Service, Software or Website or any parts thereof. You agree that any termination of your access to or modification of the Service, Software or Website may be effected without prior notice. Further, you agree that IranPhoneLine shall not be liable to you or any third-party for any such termination, modification, deactivation or any other act of IranPhoneLine contemplated by this paragraph.

You agree and acknowledge that the Service, Software and Website are subject to export laws and regulations of United States of America and European Union; furthermore you agree to comply with all the applicable laws, rules, regulations and restrictions imposed by USA and European Union in regards to export and re-export of Service, Software and Website.

Any cause of action or claim you may have with respect to the Service, Software or Website must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action shall be barred. IranPhoneLine’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties not trade practice shall act to modify any provision of these Terms of Use. IranPhoneLine may assign its rights and duties under these Terms of Use to any party at any time without notice to you.

TERMS:

1. IranPhoneLine-Out Service: [the service which enables you to make calls to PSTN/Mobile Users] (outbound) calling
2. IranPhoneLine-In Service: [the service which enables you to be called by PSTN/Mobile Users to your IranPhoneLine-In number] (inbound) phone numbers, and related telephony features
3. IranPhoneLine-In Number: the individual telephone number assigned to you either by IranPhoneLine or by IranPhoneLine-In number provider, for the use of IranPhoneLine-In service
4. Account: refers to your account for the payment and usage of one of the VoIP services
5. Terms of Service: means these general terms and conditions, irrespective of the form in which these general terms and conditions are presented to you, which cover and form part of the agreement
6. VoIP service: also known as Voice over Internet Protocol, means the payable services provided by IranPhoneLine and/or IranPhoneLine’s partners, including but not limited to, the IranPhoneLine-Out service, IranPhoneLine-In service and other services that IranPhoneLine may add thereto from time to time
7. PSTN User: refers to the user on the Public Switched Telephone Network.
8. IranPhoneLine-In number provider: means a service provider who has the license to allocate telephone numbers in the country where such numbers have been issued and with whom IranPhoneLine has entered into an agreement for the allocation of telephone numbers to subscribers of the IranPhoneLine service.
9. Prepaid Debit Account: A prepaid account which the end users deposit funds into for the cost of calls, monthly plans, and other charges to be deducted from.
10. IranPhoneLine Telephone Number: The individual number assigned to you by IranPhoneLine for In-Network calling among IranPhoneLine account holders. IranPhoneLine Telephone Number is free of charge and for exclusive use of IranPhoneLine registered customers.
